Welcome to Dr. Ware Technology Services, Inc. (“Dr. Ware,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our website (drware.com), consulting engagements, custom AI development, managed IT support, and other digital automation services.
By engaging us for services or utilizing our website, you agree to comply with and be bound by these Terms. If you do not agree, please do not use our website or request our services.
1. Services Rendered
We provide business technology solutions, including but not limited to:
- AI Agents & Bots: Custom integrations of virtual assistants, automated query resolution systems, and intelligent routing workflows.
- Power Platform Solutions: Configuration of custom Microsoft Power Apps, Power Automate flows, and Power BI dashboards.
- M365 Modernization: Strategic migration, configuration, and security optimization of Microsoft 365 environments.
- Managed IT & Security: Remote administration, Zero Trust consulting, security audits, and compliance configurations (such as ADA and HIPAA).
2. Client Obligations
To successfully deliver our services, you agree to:
- Provide accurate, timely, and complete operational data and requirements.
- Securely manage all access credentials and administrative permissions granted to us.
- Promptly review deliverables and provide necessary feedback during testing phases.
3. Intellectual Property Rights
Unless explicitly agreed otherwise in a separate signed Statement of Work (SOW):
- Dr. Ware Proprietary Assets: We retain all right, title, and interest in and to our pre-existing codebases, custom template configurations, integration modules, and general design patterns used to build your solution.
- Client Deliverables: Upon receipt of full payment, you are granted a non-exclusive, royalty-free, perpetual license to use the custom automation app, dashboard, or agent for your internal business operations.
4. Disclaimer and Verification of AI Outputs
Our custom AI agents and Power Platform automation tools are designed to streamline operations and enhance productivity. However, you acknowledge and agree that:
- AI bots process language based on probabilistic algorithms and can occasionally produce incorrect, inaccurate, or incomplete information (“hallucinations”).
- You are responsible for implementing human oversight loops, verifying crucial chatbot outputs before executing critical business actions, and training your employees on proper AI utilization.
- All services and tools are provided “as-is” and “as-available,” without warranties of any kind, express or implied.
5. Billing and Payments
Services are billed according to individual SOW schedules or monthly service agreements. Invoices are payable within the terms specified on the invoice (typically Net 15 days). Late payments may result in temporary suspension of active support portals or automated cloud services.
6. Limitation of Liability
To the maximum extent permitted by law, Dr. Ware Technology Services, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues (whether incurred directly or indirectly), or any loss of data, use, goodwill, or other intangible losses, resulting from your use of our services or AI tools.
7. Governing Law
These Terms and any dispute arising out of or related to them shall be governed by and construed in accordance with the laws of the State of South Carolina, without regard to conflict of law principles. Any legal action shall be filed in the courts of Charleston County, South Carolina.
